Software License and Services Agreement
Thank you for using the software and services provided by Guangzhou Ubiquitous BIM Technology Co.,Ltd! To ensure a better user experience, please read and fully understand all terms of this Agreement, especially those that may significantly affect your rights and interests. Unless you accept all terms of this Agreement, you are not authorized to download, install, or use the software and related services. Your actions such as downloading, installing, using the software, obtaining an account, or logging in will be deemed as your acceptance of this Agreement and your consent to be bound by all its terms.
This Agreement is entered into between you (hereinafter referred to as the “User”) and Guangzhou Ubiquitous BIM Technology Co.,Ltd (hereinafter referred to as “Ubiquitous”) regarding the download, installation, use, and reproduction of the software, as well as the use of related services provided by Ubiquitous. This Agreement describes the rights and obligations of both parties concerning the licensing and service use of the “Software.”
1. Intellectual Property Statement
1.1 The Software is developed by Ubiquitous. All copyrights, trademarks, patents, trade secrets, and other intellectual property rights related to the Software—as well as all information content associated with the Software—are protected by the Copyright Law, Trademark Law, Patent Law, Anti-Unfair Competition Law of the People’s Republic of China, corresponding international treaties, and other applicable IP laws and regulations. Such content includes but is not limited to textual expressions and combinations thereof, icons, graphics, charts, color schemes, interface designs, layout frameworks, data, printed materials, and electronic documents. Except for software or technologies involving third-party authorization, all such intellectual property rights belong to Ubiquitous.
1.2 Without written permission from Ubiquitous, the User shall not independently implement, utilize, transfer, or license any third party to implement, utilize, or transfer the above intellectual property rights for either commercial or non-commercial purposes. Ubiquitous reserves the right to pursue liability for any unauthorized actions.
2.Scope of Software License
2.1 The User shall not copy, alter, modify, hook, run, or create derivative works from the Software or any data released into any computer memory during the Software’s runtime, nor the interaction data between the client and the server during operation. This includes but is not limited to using plugins, add-ons, or unauthorized third-party tools/services to access the Software or related systems.
2.2 All rights not expressly granted to the User remain reserved by Ubiquitous. The User must obtain separate written consent from Ubiquitous before exercising any additional rights.
3.Account / License
To use the Software, the User must fill in and submit personal or organizational information. Ubiquitous will provide an account/license. As part of the registration process, the User must agree to:
(1) Provide truthful information as prompted during registration (which must remain current, complete, and accurate);
(2) Maintain and update registration information as necessary to keep it accurate and up-to-date.
3.1 Users may use their account/license to access various software and services provided by Ubiquitous. Services include but are not limited to PC and mobile device access. Ubiquitous reserves the right to modify future services.
3.2 Ownership of all accounts/licenses belongs to Ubiquitous After completing registration, the User obtains the right to use the account/license.
3.3 The right to use the account/license belongs solely to the initial registrant. It is prohibited to gift, lend, rent, transfer, or sell the account/license. If Ubiquitous discovers that the user is not the original registrant, it may reclaim the account/license without notice. Any resulting losses—including communication interruption and data deletion—shall be borne by the User.
3.4 If the User loses or forgets their password or cannot authorize login, they may contact Ubiquitous technical support. The User acknowledges full responsibility for safeguarding their account and password. Ubiquitous does not guarantee successful account recovery.
4.Software Use
4.1 The User shall not alter or modify the Software, perform reverse engineering, decompiling, or disassembly, attempt to obtain source code, create derivative works, or develop installers based on the Software.
4.2 The User shall not remove or modify any trademark, logo, copyright, or other ownership statements, legends, symbols, or marks contained in the Software.
4.3 The User shall not rent, sell, lease, sublicense, or further license the Software.
4.4 The User shall not arbitrarily modify or transfer the Software. If the User intends to transfer the Software to any third party for profit or other reasons, written permission from Ubiquitous must be obtained in advance.
4.5 The Software shall not be bundled with any other product.
5.Legal Liability and Disclaimer
5.1 Authorization of Use
5.1.1 Permission to use your computer: To enable the Software’s functionality, the User hereby authorizes Ubiquitous to utilize the User’s computer processor, memory, storage, bandwidth, and other resources.
5.1.2 Protection of user resources: The User acknowledges that Ubiquitous will make commercially reasonable efforts to protect the privacy and integrity of the User’s computer resources.
5.2 Ubiquitous specifically reminds Users that to ensure operational autonomy and business adjustments, Ubiquitous reserves the right to modify or discontinue software licensing at any time without prior notice. If necessary, such modifications or discontinuations will be announced on important pages of the Ubiquitous website.
5.3 If the User violates this Agreement or related service terms, causing claims, demands, or losses made by any third party (including reasonable attorney fees), the User agrees to compensate Ubiquitous, its partners, and affiliates and hold them harmless.
5.4 Ubiquitous only provides the right to use the Software and does not bear any legal responsibility for any data, files, or other results produced through its use.
5.5 Ubiquitous bears no responsibility for any losses suffered by the User due to communications failures, technical issues, network or computer failures, system instability, or other force majeure factors caused by third parties such as telecom operators.
5.6 If technical failures or force majeure events affect normal service operation, Ubiquitous will make efforts to repair them promptly; however, Ubiquitous bears no responsibility for any resulting losses suffered by the User.
6.Miscellaneous
6.1 To provide better services, Ubiquitous may optimize the Software and services from time to time, and the content of this Agreement may be updated accordingly. The updated terms will take effect upon publication. The User may review this Agreement in the latest version of the Software at any time. If the User disagrees with the updated terms, they may stop using the services; or both parties may renegotiate service terms where mutually agreed.
6.2 The headings in this Agreement are for readability only and shall not be used as a basis for interpreting the Agreement.
6.3 This Agreement is entered into in Guangzhou. Its interpretation, validity, and dispute resolution are governed by the laws of the People’s Republic of China. In case of any dispute between the User and Ubiquitous, both parties shall first attempt amicable negotiation; failing which, the User agrees to submit the dispute to the competent People’s Court in Guangzhou.
Copyright of this Agreement belongs to Ubiquitous, which reserves all rights of interpretation. Software names and service names mentioned herein may be registered trademarks or trademarks of Ubiquitous and are protected by law.
Privacy Protection Agreement
Privacy is an important right of every user. Guangzhou Ubiquitous BIM Technology Co., Ltd. (“Ubiquitous”) attaches great importance to the protection of your personal information. This Privacy Protection Agreement describes the policies adopted by Ubiquitous regarding the collection, use, and protection of information related to users of the Software. This Privacy Protection Statement constitutes the Software’s public notice and commitment to safeguarding users’ personal privacy. Please read it carefully.
1. Non-Personal Information
We may collect non-personal information through your IP address, such as the type of browser you use, the type of operating system, the domain name of your Internet service provider (ISP), the sequence and path by which you access our website, your geographic location at the time of access, etc.
Such information helps us:
optimize the display of pages on your device,
conduct traffic statistics and analyze user browsing habits,
improve the management and services of the Software.
These non-identifiable information items help us understand which regions and content are most popular and evaluate the effectiveness of promotional activities.
2. Personal Information
- When you register, submit feedback, or participate in other activities within the Software, and with your consent, the Software may require you to provide certain personal information through registration forms. Such information may include:
(1) Personal identification information: name, mobile phone number, email address, etc.;
(2) Personal background information: occupation, employer, etc. - Unless required by Section 8 or applicable laws, the Software will not use your personal information for any other purpose without your consent.
Users should be aware that if they disclose personal information in public areas of the Internet, such information may be collected and used by others, including being used to send unsolicited advertising emails.
3. User Rights
Users of the Software have the following rights regarding their personal information:
(1) The right to inquire about and request access to their personal information;
(2) The right to request supplements or corrections at any time;
(3) The right to request deletion at any time.
4. Protection of User Information
The Software will strictly protect the security of your personal information and will implement rigorous management and protection measures.
We use appropriate security technologies and procedures to prevent the loss, misuse, alteration, or unauthorized access, use, or disclosure of your personal information.
5. User’s Self-Protection Obligations
Users are solely responsible for maintaining the confidentiality and proper use of their account credentials and related registration information.
Please ensure that you properly safeguard your account, especially while online.
6. Protection of Minors’ Privacy
Our products and services are primarily intended for adults. If you are a minor, your parent or guardian must carefully read this Privacy Policy and consent before you use our services or provide information to us.
For minors whose information is collected with the consent of their parents or guardians, we will use, share, transfer, or disclose such information only when permitted by law, when expressly authorized by the parent or guardian, or when necessary for the protection of the minor.
7. Principles for the Use of User Information
Under any of the following circumstances, the Software may reasonably use user information beyond what is necessary:
With your written consent;
To prevent emergency danger to your life, body, or property;
To prevent significant harm to the rights of others;
To promote the public interest without causing material harm to your rights and interests.
8. Principles for Disclosure of User Information
In accordance with applicable laws and regulations of the People’s Republic of China, when government agencies request disclosure of personal information through legal procedures, the Software will provide such information as required. The Software assumes no responsibility for any disclosure made under such circumstances.
The Software may also disclose user information under the following conditions when acting in good faith or with reasonable grounds:
(1) When disclosure is necessary under the terms of the Software User Agreement or related statements;
(2) In emergencies, when necessary to protect the safety of users’ personal or property interests;
(3) When disclosure is required to uphold fairness and justice.
9. Cookies
Cookies are a technology whereby the Software’s server sends cookies to your browser when you visit our site, and such cookies are stored on your computer’s hard drive. Cookies record your activities and preferences during subsequent visits.
Cookies do not track personal information. They store useful information to recognize you upon future visits, help present content of interest, or store login credentials so that you do not need to log in repeatedly.
Cookies originating from the Software may only be read by the Software. You may choose to accept or reject cookies. Most browsers accept cookies by default, but you may modify your browser settings to reject them.
If you choose to reject cookies, you may still browse most parts of the Software, but certain features or services may be unavailable.
10. Disclaimer
In addition to the exemptions listed in Section 8, the Software bears no responsibility under the following circumstances:
Any personal information disclosure resulting from your sharing of account credentials with others or any other reason not attributable to the Software;
Personal information leakage, loss, theft, or alteration caused by hacking, computer viruses, government restrictions, or other issues affecting normal network operations not attributable to the Software;
Any disputes arising from third-party use of your information as permitted under the Software’s service statements or agreements;
Any exemptions listed in the Software’s service statements or user agreement;
Any consequences arising from force majeure.
11. Applicable Law
For matters not covered herein, refer to applicable national laws and regulations.
In case of any inconsistency between this Statement and national laws or regulations, the latter shall prevail.
12. Copyright and Modification Rights
The Software owns the copyright, modification rights, update rights, and final interpretation rights of this Privacy Protection Agreement.
